The Company may assign this Franchise or the rights granted hereunder without first obtaining the written consent of the Town, except in the circumstance the Company offers to sell or enters into a contract to sell only the system subject to this Franchise; provided, however, that the consent to assignment shall not be unreasonably withheld and, further, that this condition shall not be construed to restrict or prevent the issuance of bonds, debentures or other evidence of indebtedness, or the issue of additional stock, needed or useful for the purpose of financing the system or any portion thereof.
